Article 3 -Meetings Of Members
There shall be a general body meeting of the members of the Corporation at least every other year, to coincide with the annual meeting of either the American College of Allergy and Immunology or the American Academy of Allergy, Asthma and Immunology. For the purpose of transaction business, any number of active members present at a meeting shall constitute a quorum. At the annual meeting, the members shall elect directors and transact any business that may come before the meeting. If, in any year, the election of directors is not held on the day designated for the annual meeting, the Board of Directors shall call a special meeting of the members as soon thereafter as possible to conduct the election of directors.
Special meetings of the members may be called by the president, the Board of Directors, or a majority of the voting members.
The Board of Directors may designate any place, either within or outside the United States of America, as the place of meeting for any annual meeting or for any special meeting called by the Board of Directors.
Written or printed notice of any meeting of members, including the annual meetings, shall be delivered to each member entitled to vote at the meeting not less than 10 days before the date of the meetings.
The members holding a majority of the votes that may be cast at a meeting and who attend the meeting in person shall constitute a quorum at that meeting. The Bylaws can be amended by the affirmative vote of 2/3 of the active members present at that general body meeting, provided the membership was notified in writing at least 2 weeks in advance of the substance of the proposed amendment.
The membership shall try to act by consensus. However, the vote of a majority of voting members in good standing, present and entitled to vote at a meeting at which a quorum is present, shall be sufficient to constitute the act of the membership unless the vote of greater number is required by law. A member in good standing is one who has paid all required fees and dues and is not suspended as of the data of notice of meeting. Voting shall be by ballot or voice, except that any election of directors shall be by ballot if demanded by any voting member at the meeting before the voting begins.
A member entitled to vote may not vote by proxy.
The Board of Directors may authorize members to vote by mail on the election of directors and officers or on any other matter that may be voted on by the members.
